The Company represents that its training materials are developed to align with Oregon Administrative Rules Chapter 411 for Direct Support Professionals and Personal Support Workers. However, the Oregon Department of Human Services (ODHS), the Oregon Department of Developmental Services (ODDS), and Developmental Disabilities (DD) licensing have ultimate authority to accept or reject the efficacy of training materials and certifications. We shall not be liable for any disputes or actions taken by these agencies regarding training materials or certifications.

7. User-Submitted Content

The Service may allow you to submit, upload, or share content such as text, documents, or other materials (“User Content”). You retain ownership of your User Content. By submitting User Content, you grant Direct Support Learning a non-exclusive, royalty-free license to use, store, and display that content as necessary to provide the Service.

You are solely responsible for ensuring that your User Content does not violate any applicable law or the rights of any third party.

8. Data Ownership and Privacy

Direct Support Learning owns the data infrastructure and platform within the Learning Management System. User data, including training records and completion data submitted by subscribers and their employees, is retained to provide and improve the Service. We retain user data for as long as your account is active or as needed to provide the Service, and in accordance with applicable law. Upon request, we will delete or anonymize your personal data within a commercially reasonable time, subject to legal retention obligations. Oregon residents may have additional rights under the Oregon Consumer Privacy Act (ORS Chapter 646A), including rights to access, correct, delete, and opt out of the processing of their personal data.

We will not sell or disclose your personal data to third parties except as required by law or as described in our Privacy Policy. Please review our Privacy Policy, available on our website, for details on how we collect, use, and protect your information.

You are responsible for ensuring that any sensitive or personal information you upload complies with applicable privacy laws and regulations.

9. Regulatory Compliance

It is the responsibility of each subscriber and user to ensure that their use of the Service complies with all applicable federal, state, and local laws and regulations, including those established by ODHS, ODDS, and DD licensing authorities. Direct Support Learning shall not be liable for any subscriber’s failure to comply with applicable regulations.

10. Disclaimer of Warranties

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. You use the Service at your own risk.

11. Limitation of Liability

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Direct Support Learning and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to (a) your violation of these Terms, (b) your use of the Service in violation of applicable law, or (c) any User Content you submit. Your indemnification obligation is subject to the liability limitations in Section 11 and shall not apply to claims arising from our gross negligence, willful misconduct, or breach of these Terms. Direct Support Learning shall have the right to assume exclusive control of the defense of any matter subject to indemnification, at your expense. You may not settle any claim without our prior written consent.

13. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service, or any part thereof, at any time with or without notice. We also reserve the right to update these Terms at any time. When we make material changes, we will update the Effective Date at the top of this page and, where appropriate, notify you by email or through the Service.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms.

14. Termination

We may, in our sole discretion, suspend your access to the Service immediately without notice if we reasonably believe your use poses a security risk or violates these Terms. For terminations without cause, we will provide at least thirty (30) days’ prior written notice to the email address associated with your account. Upon termination, your right to use the Service will immediately cease. We will retain and make available your training records and completion data for a period of sixty (60) days following termination, after which such data may be deleted. The Company shall not be liable to you for any termination of your access to the Service.

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitation of liability.

15. Add-Ons and Future Services

Subscription access to the Service does not include add-ons, integrations, or future products or services that may be offered by Direct Support Learning. Any additional offerings will be subject to separate terms and fees, which will be communicated to you before you are charged.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through final and binding arbitration conducted by a single arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association, in Multnomah County, Oregon. Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court’s jurisdiction. You and Direct Support Learning waive any right to pursue claims on a class, consolidated, or representative basis. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of a representative or class proceeding. This arbitration agreement is governed by the Federal Arbitration Act. Each party shall bear its own arbitration costs, except as may be required by applicable law.

17. Waiver and Severability

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features of the Service, constitute the entire agreement between you and Direct Support Learning with respect to the Service and supersede all prior agreements, communications, and understandings.

19. Force Majeure

Direct Support Learning shall not be liable for any failure or delay in the performance of the Service resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, governmental actions, power failures, internet or telecommunications outages, or failures of third-party service providers (including cloud hosting, SMS carriers, or payment processors). In such events, our obligations under these Terms will be suspended for the duration of the force majeure event. We will use commercially reasonable efforts to resume performance as soon as practicable and will notify affected subscribers of the nature and expected duration of the disruption.

20. Accessibility

Direct Support Learning is committed to making the Service accessible to individuals with disabilities. We strive to conform to applicable accessibility standards, including the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA and Section 508 of the Rehabilitation Act, where applicable. If you experience difficulty accessing any portion of the Service due to a disability, please contact us so that we may provide reasonable accommodations or alternative access to content.
